Service Agreement
This agreement governs the relationship between AideaGo and the business that receives the AideaGo service. When you accept the Order Form sent to you, this agreement becomes binding on you.
1. Parties
1.1. Service provider: Blyne Data Technologies DOO (Tivat, Montenegro), operating under the AideaGo brand, email [email protected] (hereinafter "AideaGo").
1.2. Service recipient: the business whose name, address and tax details are stated in the Order Form (hereinafter the "Customer").
1.3. The Service is offered only to businesses that obtain it for their commercial or professional activity; it is not offered to consumers. The person who accepts the Order Form declares that they are authorised to represent and bind the Customer.
2. Definitions
In this agreement:
- Service: the work AideaGo performs under the Package and the add-on services selected in the Order Form.
- Package: the Be Found, Door to Door, Front of Mind and Always Open packages, with the scope of each as stated on the Packages page and in the Order Form.
- Order Form: the document, accepted by the Customer in writing or electronically, that sets out the Package, add-on services, fees, payment method, start date, Registered Channels and any special terms. A quote that AideaGo sends to the Customer and that the Customer accepts also counts as an Order Form.
- System: the software, automations, AI tools, prompts, workflows, panel, templates, libraries and infrastructure that AideaGo uses to perform the Service.
- Customer Materials: brand elements, logos, text, photographs, videos, prices, product and service information, data and instructions that the Customer provides or that are accessed on the Customer's behalf.
- Outputs: website pages, texts, images, videos, email and message drafts, reports and similar content produced for the Customer under the Service.
- Third-Party Services: services outside AideaGo's control, such as Google, Meta (Instagram, Facebook, WhatsApp), Cloudflare, Telegram, email providers, AI model providers and domain registrars.
- Registered Channels: the Telegram account or accounts and the email address or addresses notified in the Order Form on the Customer's behalf, and the panel login given to the Customer.
- Approval: the permission the Customer gives through one of the Registered Channels: the approval button in the panel, a reply to the report email, or a Telegram message.
- Business Day: a weekday in Montenegro that is not an official public holiday.
3. Formation of the agreement and documents
3.1. The agreement is formed when the Customer accepts the Order Form (by signature, by an email reply of "I approve", or by electronic acceptance) or makes the first payment, whichever happens first.
3.2. The parts of the agreement, and their order of priority in case of conflict, are: (1) the special terms in the Order Form, (2) this Service Agreement and Annex 1 (Data Processing Annex), (3) the Packages page. The Customer's own purchasing conditions or general terms do not apply unless AideaGo accepts them in writing.
3.3. AideaGo's quotes are valid for 14 days unless a different period is stated on them.
3.4. Statements, spoken or written, by sales representatives who negotiate on behalf of AideaGo do not bind AideaGo unless they are written in the Order Form. Sales representatives are not authorised to change this agreement, to give discounts or to make additional commitments.
4. Scope of the Service
4.1. AideaGo performs the work that the Packages page and the Order Form describe for the Package selected in the Order Form. Work that is not described in these documents is not part of the Service and is done under a separate quote.
4.2. Packages build on one another: each Package includes all the services of the Package below it.
4.3. AideaGo performs the Service with AI agents and automations, with human review where needed. AideaGo decides which tool, which method and which order to use for the work. AideaGo may change and improve its tools, its methods and the System, provided it does not undermine the essence of the Service.
4.4. Numbers stated in the Packages (such as the number of posts per week or the maximum number of businesses reached per week) are upper limits. Doing less work in a given week, for reasons such as account security, platform rules, delayed Approvals or not enough material for content, does not change the fee.
4.5. Ordinary use. The monthly fee covers the ordinary use of the work in the Package. Changes requested through Telegram or email, such as adding content, updating content, or adding a new page or a new section, are ordinary use. The following are not ordinary use: redesigning the site from scratch, adding a new language, connecting a new system (such as a booking, payment, stock or accounting program), bulk data transfer, and a frequency of requests that is clearly above the ordinary. AideaGo may carry out such a request under a separate quote, may propose a move to a suitable Package, or may place the work in a reasonable queue.
4.6. Add-on services (such as a voice assistant or advanced video production) are provided only if they are stated in the Order Form, and at the fee stated there.
4.7. Package change. If the Customer wants to move to a higher Package, the Customer pays the difference between the setup fees of the two Packages in advance; the new monthly fee applies from the first invoice period after the date the move is completed. A move to a lower Package takes effect at the start of the first period after notice; the difference in the setup fee already paid is not refunded, and services that are not included in the lower Package are stopped.
5. Setup
5.1. Setup starts when the setup fee has reached AideaGo's account and the Customer has provided the information and access that setup requires.
5.2. To the extent the Package requires, setup covers: building the site or moving it to the infrastructure AideaGo uses, connecting the domain name, setting up the account connections the Package requires, loading the brand's voice, products, services and rules into the System, and opening the Telegram channel and the panel.
5.3. The Customer authorises AideaGo to access the accounts the Package requires (such as domain management, Google, Meta, email and WhatsApp Business) in the way AideaGo indicates. Passwords are not sent by email or message.
5.4. The setup time that AideaGo gives is an estimate and is not binding. Delays caused by the Customer (late information or access, delayed Approvals) and the verification and approval processes of Third-Party Services (for example Meta's account or number verification) extend this time.
5.5. If the Customer does not provide the required information and access within 30 days of payment of the setup fee, AideaGo may treat setup as completed for the part that could be done. The remaining parts are completed when access is provided, according to AideaGo's work queue. This does not require a refund of the setup fee.
5.6. Delivery and acceptance. AideaGo notifies the Customer through the Registered Channels that setup is complete. Setup is deemed accepted if the Customer does not notify AideaGo in writing within 5 Business Days of a specific shortcoming that is contrary to the scope of the Package, or if the Customer starts using the Service. Shortcomings that are notified are remedied within a reasonable time; minor shortcomings do not prevent acceptance.
5.7. When an existing site is moved, AideaGo transfers the content of the site to the new system. The old site's software, plugins, database or special functions (such as payment, booking or membership) are not transferred as they are unless the Order Form says so. Cancelling the old hosting service, and its fees, are the Customer's responsibility.
6. Performing the Service and Approval
6.1. Work that comes for Approval. Work that goes out on the Customer's behalf or speaks for the Customer (Instagram posts, replies to comments and messages, replies to Google reviews, sales emails), as well as the weekly plan and significant content changes on the site, is published or sent after the Customer's Approval. The WhatsApp assistant's replies are an exception (clause 10.4).
6.2. Work that does not wait for Approval. AideaGo may fix technical errors, broken links, security vulnerabilities, speed problems and outages on the site, and may make changes that are mandatory to comply with platform rules, without waiting for the Customer's Approval.
6.3. Effect of Approval. Approval means that publishing or sending the content on the Customer's behalf is permitted. Before giving Approval, the Customer checks the prices, dates, claims, people and brand information in the content. The Customer is responsible for the content and the actions it has approved.
6.4. Delayed Approval. Content that is not approved is not published. No fee reduction is made for content that cannot be published, a posting day that is missed or an email that cannot be sent because of a delayed Approval. Content that is approved late is published at the first suitable time; content that is not approved within 14 days may be removed from the plan because it has become outdated.
6.5. Instructions from the Registered Channels. Every instruction and Approval that comes from the Registered Channels is deemed to come from the Customer. The Customer is responsible for the security of these channels (Telegram account, email address, phone) and notifies AideaGo immediately if it notices unauthorised use. Until this notice reaches AideaGo, AideaGo is not responsible for work done on instructions that came from these channels. To add people to or remove people from the Registered Channels, the Customer writes to AideaGo from the Registered Channels.
6.6. Support. Requests are sent through Telegram or email. AideaGo handles requests in order and within a reasonable time; urgent situations such as a site outage take priority. No specific response or resolution time is promised unless it is stated separately in the Order Form.
6.7. Reports. AideaGo sends the analyses and reports included in the Package to the Customer's email address. The data in the reports comes from Third-Party Services (such as Google and Meta); AideaGo is not responsible for the accuracy or the delay of this data.
7. The Customer's obligations
The Customer:
7.1. provides accurate, complete and up-to-date information, and notifies changes to product, price, working hours, address and campaign information on time.
7.2. undertakes that it has the right to use the Customer Materials and that they do not infringe the rights of third parties.
7.3. does not request unlawful, misleading, discriminatory, insulting or rights-infringing content, claims or messages, and does not give instructions that are contrary to the rules of the Third-Party Services.
7.4. fulfils the permits, licences and obligations related to its own activity; it is itself responsible for the commitments it gives to its own customers on price, booking, orders, delivery and returns.
7.5. keeps open, in its own name, the accounts that the Package requires, and itself pays for the paid plans of those accounts, domain name renewals and ad budgets.
7.6. If it withdraws the authorisations it has given to AideaGo or changes account passwords, AideaGo is not responsible for work that cannot be done as a result, and the fee does not change.
7.7. does not copy or reverse engineer the System; does not pass AideaGo's templates, libraries, prompts and methods to third parties, and does not use them to build a competing service.
8. Fees and payment
8.1. Fees consist of a one-time setup fee and a monthly service fee, and are stated in the Order Form.
8.2. Currency. Fees are in euros (€) and the debt is in euros. For businesses in Türkiye, the Turkish lira (TL) amounts shown on the site are for information only. If payment in TL is accepted in the Order Form, payment is made in the TL equivalent of the euro amount, calculated at the European Central Bank reference rate on the day of payment; any exchange-rate difference is borne by the Customer.
8.3. Taxes. Fees do not include VAT or similar taxes. Taxes that must be shown on AideaGo's invoice are added to the invoice amount. Invoices to businesses in Türkiye are issued without VAT. Taxes, duties, withholding taxes and filing obligations that arise in the Customer's own country are the Customer's responsibility. If any tax must be withheld from a payment, the Customer increases the payment so that the net amount reaching AideaGo's account is not less than the invoice amount.
8.4. Time of payment. The setup fee is paid in advance, before setup begins. The monthly fee is invoiced in advance at the start of each period. The first monthly period starts on the date setup is accepted, and at the latest 30 days after the setup fee is paid.
8.5. Due date. Invoices are sent by email and are paid within 7 days of the invoice date.
8.6. Payment method. Payments are made by bank transfer (including international transfer) or by another method stated in the Order Form. Bank, intermediary bank and exchange costs are borne by the Customer; the full invoice amount must reach AideaGo's account. If the Customer has given an automatic payment instruction, fees are collected by that method at the start of each period.
8.7. Late payment. Statutory default interest under the applicable law accrues on amounts that are not paid when due, from the due date. If payment is 7 days late, AideaGo may suspend the Service until payment is made, after notifying the Customer through the Registered Channels; the period of suspension does not remove the fee. If the delay exceeds 30 days, AideaGo may terminate the agreement by notice. The reasonable costs of collection are borne by the Customer.
8.8. Invoice dispute. The Customer notifies any objection to an invoice, with its reasons and in writing, within 7 days of the invoice date; an invoice that is not disputed within this period is deemed accepted. The undisputed part of an invoice is paid when due.
8.9. No set-off. The Customer may not withhold or set off a payment by claiming that it has a claim against AideaGo; claims that are final, or that AideaGo has accepted in writing, are an exception.
8.10. Fee changes. AideaGo may change the monthly fees by giving at least 30 days' notice through the Registered Channels; the new fee applies from the first period after the date stated in the notice. A Customer that does not accept the new fee may end the subscription before the new fee takes effect, without waiting for the 30-day notice period, with effect from the date on which the new fee would start.
8.11. What the monthly fee covers and does not cover. The monthly fee covers the AI and hosting (keeping the site online) costs that AideaGo incurs to perform the work in the Package. The following are not included in the Package and are paid by the Customer: ad budgets; domain name registration and renewal; paid plans, tools or data sources used at the Customer's request; the fees that Meta charges for WhatsApp messages and similar third-party fees.
9. Refunds
9.1. The setup fee is payment for the labour of setup and for the account connections. Once paid, it is not refunded in any circumstances; the ending of the agreement for any reason, giving up the Service, the Customer not providing access, or an expected result not being achieved does not change this. The only exception is this: if AideaGo ends the agreement for its own reasons without having started setup at all, AideaGo refunds the setup fee.
9.2. Monthly fees are not refunded for the period that has been paid; if the agreement ends in the middle of a period, there is no partial refund for the remaining days.
10. Package-specific terms
10.1. Website and visibility (all Packages)
a) The site is published on infrastructure chosen by AideaGo. The domain name remains registered in the Customer's name; for the term of the agreement, the Customer gives AideaGo the authority to manage the domain name (DNS).
b) SEO, GEO and AEO work is aimed at the systems of search engines and AI assistants, which run on their own rules. These systems are not under AideaGo's control. No specific ranking, display, mention as a source or number of visitors is guaranteed. Fluctuations caused by changes in these systems are not a breach of the agreement.
c) The site is not guaranteed to be accessible at all times. AideaGo checks the site automatically at regular intervals and tries to remedy any outage it notices within a reasonable time.
d) The legal texts of the site, such as the privacy and cookie texts, are prepared with AideaGo's templates; the Customer checks whether these texts suit the Customer's activity.
10.2. Finding customers and email (Door to Door and above)
a) AideaGo compiles potential-customer information from public sources. The accuracy, currency and completeness of this information are not guaranteed.
b) Emails are sent from the Customer's own email account, on the Customer's behalf and only with the Customer's Approval. The Customer is the sender; the Customer is responsible for the content of the emails, for sending them, and for the relationship with the recipients.
c) AideaGo adds to every email a link through which the recipient can choose not to receive emails again. Requests received this way are entered in the System, and that recipient is not written to again; the Customer does not give instructions to the contrary.
d) The number and the interval of sendings are limited by AideaGo for the security of the email account. It is not guaranteed that emails will be delivered, reach the inbox, be read or get a reply. AideaGo is not responsible if the email provider restricts or closes the account.
e) Records in the customer tracking panel (CRM) belong to the Customer; AideaGo processes them only for the Service (Annex 1).
10.3. Instagram (Front of Mind and above)
a) The Instagram account remains in the Customer's name. The Customer keeps the account as a Business or Creator account and provides the connections that Meta requires.
b) Authority to manage. For the term of the agreement, the Customer entrusts AideaGo with the management of its Instagram account for the work listed in this clause and in the Package. Within this scope, AideaGo, the persons AideaGo appoints and the System may publish posts and stories on the account, read comments and messages, send approved replies, and read the statistics of the account and its content. By accepting the Order Form, the Customer confirms that it grants this authority in writing. AideaGo may present this clause and the accepted Order Form to Meta or to any other third party as evidence of that authority.
c) Connection method. AideaGo chooses the method used to connect to the account: the "Instagram Tester" role in AideaGo's Meta app, Meta's permission screen, or any other method Meta may offer in the future. The Customer, through the account's authorised user, accepts the invitation and the permissions required by the chosen method within 5 Business Days of AideaGo's request; if the method changes, the Customer gives the new consent within the same period. No password is required for the connection.
d) Loss of connection. If the Customer does not accept the invitation, withdraws the permission or cuts the connection in any other way, automated publishing and replies to comments and messages stop until the connection is restored; this is treated in the same way as a delayed Approval under clause 6.4. If Meta changes its rules, or restricts or stops the Tester role or the app's access, AideaGo will use reasonable efforts to restore the connection by the same or another method. In either case, the weekly strategy, content production and revisions continue, and the content prepared is delivered to the Customer. The Customer may publish it itself, or AideaGo may upload it to the account manually using access the Customer provides. Loss of the connection is not a breach of the agreement and gives no right to any reduction or refund of fees or to any other claim.
e) Meta's rules. In line with Meta's rules, AideaGo does not perform automated following, automated liking or bulk messaging. The Customer is responsible for restrictions arising from use of the account, by the Customer or before the Service began, in breach of Meta's rules (such as purchased followers or engagement, or unauthorised apps).
f) The number and timing of posts are decided by AideaGo with account security and Meta's rules in mind; the weekly number is an upper limit.
g) No increase in followers, reach, engagement or sales is guaranteed. AideaGo is not responsible for Meta's restrictions on accounts, reach, music or content.
h) The music, templates, effects and images used in videos are chosen from AideaGo's libraries or from sources that are cleared for use. The Customer may use them only within the content concerned. If Meta restricts a piece of music, the content may be published without music or with other music.
i) Replies to comments and messages are sent with the Customer's Approval. AideaGo is not responsible for the consequences of messages that are not approved or are approved late. Meta may limit the time within which messages can be answered.
j) End of the agreement. When the agreement ends, AideaGo removes its connection to the account and the Customer's Tester role; the Customer may also remove the permission from its own account. Published content stays on the account.
10.4. WhatsApp assistant (Always Open)
a) The Customer's own accounts. The assistant is set up separately for each Customer, on the Customer's own Meta business account and its own WhatsApp Business account and number. The business verification, number verification, payment method and similar approvals that Meta requires are completed in the Customer's name, with the Customer's information and documents. The Customer provides this information and these documents accurately and completely, and authorises AideaGo as an administrator or developer on these accounts. These accounts belong to the Customer and remain with the Customer.
b) Meta's approval time. Verification and approval times depend on Meta and are outside AideaGo's control. The assistant is set up after Meta has given the necessary approvals; in the meantime, the other services in the Package continue. Meta delaying or refusing approval is not a breach of the agreement and gives no right to any reduction or refund of fees or to any other claim.
c) The assistant replies automatically through the Customer's WhatsApp Business number, on the Customer's behalf, based on the information on the Customer's site and the information the Customer approved at setup. These replies are not submitted for Approval one by one; with the information and rules approved at setup, the Customer allows the assistant to speak in the Customer's own name.
d) The price, stock, booking, delivery and campaign information that the assistant gives is based on information the Customer has provided; the Customer keeps this information up to date. Commitments arising from the information the assistant gives to the Customer's customers, and from the requests it receives, belong to the Customer.
e) The assistant is software and can make mistakes. It passes on to the Customer topics whose answer it does not know or that need the Customer's decision. Bookings and orders are finalised in the way the Customer sets.
f) The rules of the WhatsApp Business Platform, number verification, approval of message templates and message fees depend on Meta. Meta's message fees are not included in the Package; the Customer pays them directly to Meta with the payment method set on its Meta account.
g) People who talk to the assistant are shown, in an appropriate way, that they are writing with a digital assistant.
10.5. Google Business Profile (all Packages)
a) The Google Business Profile remains in the Customer's name; ownership and verification of the profile belong to the Customer. The Customer adds the Google account designated by AideaGo to the profile as a manager.
b) AideaGo keeps the information on the profile (opening hours, special hours, contact details, products and services) up to date using the information provided by the Customer, and publishes posts on the profile. The Customer is responsible for the accuracy of that information.
c) Replies to reviews are published on the Customer's behalf and only with the Customer's Approval. AideaGo does not buy reviews, does not offer anything in exchange for reviews and does not guarantee the removal of reviews; the Customer shall not give instructions to the contrary.
d) The profile's visibility and ranking, the approval of changes, verification procedures, suspension or restriction of the profile and the data displayed depend on Google; they are outside AideaGo's control and are not guaranteed.
10.6. Telegram and panel
a) Telegram is the day-to-day communication channel between AideaGo and the Customer; the Customer needs to have a free Telegram account. AideaGo is not responsible for Telegram outages.
b) The panel is the Customer's screen for approval and tracking. The login details for the panel are personal and are not shared with others.
11. Term, renewal and termination
11.1. The subscription renews automatically in one-month periods, starting from the date the first monthly period begins. There is no minimum term unless the Order Form states one.
11.2. Termination by the Customer. The Customer may terminate the subscription by giving at least 30 days' notice through the Registered Channels or by writing to [email protected]. The subscription ends at the end of the first period that falls at least 30 days after the notice.
11.3. Termination by AideaGo. AideaGo may also terminate the subscription at the end of a period, without giving reasons, by giving at least 30 days' notice.
11.4. Termination for cause. If one party materially breaches the agreement and does not remedy the breach within 10 days after a written warning, the other party may terminate the agreement immediately. AideaGo may also, by notice, terminate the agreement immediately or suspend the Service in the following cases:
- payment is more than 30 days late;
- the Customer insists on a request for unlawful or misleading content;
- the Customer's conduct puts the accounts, infrastructure or reputation of AideaGo or of its other customers at risk;
- the Customer becomes bankrupt, applies for a composition with creditors (concordat) or ceases its activity;
- insults, threats or harassment directed at AideaGo's employees or representatives.
11.5. Suspension. In case of a security threat, a risk of breaching platform rules, or the cases in clause 11.4, AideaGo may suspend the Service in whole or in part, without prior notice if necessary. The fee continues to accrue during the suspension.
11.6. Consequences of termination.
a) All fees accrued up to the termination date are paid immediately.
b) AideaGo stops the automations it runs on the Customer's behalf and removes its own access.
c) The domain name and the Instagram, Google, email and WhatsApp accounts remain with the Customer.
d) Handover package: If all payments have been made, AideaGo gives the Customer, within 30 days after termination, the published files of the site, its content and the customer tracking panel (CRM) records as a ZIP file, and gives reasonable help in pointing the domain name to another infrastructure. The System (software, panel, automations, prompts, templates, libraries) is not part of the handover package.
e) After the handover period, AideaGo deletes the Customer's data within a reasonable time, except for data it is required to retain and subject to the normal deletion cycle of backups.
f) Provisions that by their nature must remain valid after termination, such as those on payment, intellectual property, confidentiality, liability, indemnity and disputes, remain in force.
12. Intellectual property
12.1. Customer Materials and the Customer's brand belong to the Customer. The Customer gives AideaGo permission to use, reproduce and adapt them for the term of the Service and for the purpose of performing the Service.
12.2. When all fees have been paid, the rights that AideaGo holds in the Outputs produced specifically for the Customer pass to the Customer. AideaGo does not guarantee that an exclusive right will arise in the Outputs.
12.3. System and libraries. The System, meaning the software, panel, automations, prompts, workflows, design templates, site components, video and content formats, music and image libraries, methods and know-how, belongs to AideaGo or its licensors and is not transferred to the Customer. The Customer is given permission to use the System only for the term of the Service and within the scope of the Service. For parts of the System that are contained in Outputs (such as a design template or a piece of code), the Customer is given a perpetual, non-transferable and non-exclusive licence to use that Output for its own business.
12.4. No exclusivity. Templates, formats, design language and methods may also be used for other customers. What is specific to the Customer is the Customer Materials and the content written for the Customer. AideaGo does not use one customer's brand elements for another customer.
12.5. Feedback. AideaGo may freely use the Customer's suggestions and feedback about the Service.
12.6. Reference. Unless the Customer notifies AideaGo otherwise in writing, AideaGo may use the Customer's name and logo as a reference in customer lists. Case studies containing measured results are published only with the Customer's consent.
12.7. Anonymous data. AideaGo may use aggregated and anonymous data obtained from the use of the Service, which does not identify the Customer or any individual, to improve the Service.
13. Artificial intelligence
13.1. The Service is performed largely with AI. The Customer accepts that AI outputs may contain errors, omissions or inaccurate information, and may resemble content produced for others. AideaGo uses control steps and the Approval flow to reduce this risk.
13.2. The Customer checks the Outputs submitted for its Approval before publication; approved Outputs are deemed to be the Customer's own statements.
13.3. AideaGo does not give Customer data to third parties for training AI models. The Service is performed through AI providers that operate under commercial terms of use.
13.4. AideaGo may change the AI models and providers it uses, while maintaining the quality of the Service.
14. Third-Party Services
14.1. The Service works in reliance on Third-Party Services. The Customer accepts the terms of use of these services and uses its accounts in line with those terms.
14.2. Outages, rule and price changes, account restrictions and connection (API) changes of Third-Party Services are outside AideaGo's control. Therefore, if a function becomes partly or fully impossible, AideaGo tries to offer a reasonable alternative; this does not give rise to a refund or to compensation. If a function becomes permanently impossible, AideaGo notifies the Customer of this and adapts the Service accordingly.
14.3. AideaGo is not responsible for account restrictions caused by the Customer or by its previous service providers.
15. Confidentiality
15.1. The parties keep each other's commercial information, prices, customer lists and technical information confidential; they share it only for performing the agreement and only with people who need to know it.
15.2. Information that is public, that was already known to the receiving party before the other party disclosed it, that is developed independently, or that must be disclosed by legal obligation is outside this obligation.
15.3. The confidentiality obligation continues for 3 years after the agreement ends; for information about the System, it has no time limit.
16. Personal data
16.1. Data that AideaGo collects itself (site visitors, the enquiry form) is processed under the Privacy Policy.
16.2. For personal data that the Customer passes to AideaGo under the Service, or that AideaGo processes on the Customer's behalf (the Customer's customers, potential-customer records, messages), the Customer is the data controller and AideaGo is the data processor. Annex 1 (Data Processing Annex) applies to this data.
16.3. The Customer confirms that it has the legal basis needed to collect this data and to have AideaGo process it, and that it provides privacy notices to its own customers.
17. Limit of assurance
17.1. AideaGo performs the Service with reasonable care and professional diligence. Except as expressly stated in this agreement, the Service is provided "as is" and "as available"; no express or implied warranty is given about a particular result, fitness for a particular purpose, uninterrupted operation or freedom from errors.
17.2. In particular, the following are not guaranteed: search ranking; being cited as a source by AI assistants; numbers of visitors, followers, engagement, enquiries, replies, bookings or sales; delivery of emails; uninterrupted operation of Third-Party Services.
18. Limitation of liability
To the fullest extent permitted by the applicable law:
18.1. AideaGo is not liable for loss of profit, revenue, customers, reputation or data, for business interruption, or for indirect or consequential damages.
18.2. AideaGo's total liability arising from this agreement may not exceed the total of the monthly service fees that the Customer has actually paid to AideaGo in the 3 months before the event that caused the loss.
18.3. These limits do not apply to damage caused by AideaGo's wilful misconduct or gross negligence, or to damage to people's life or health.
18.4. If the Customer does not notify AideaGo in writing within 30 days of the date it learns of the event that caused the loss, it cannot bring claims arising from that event.
19. Indemnity
19.1. The Customer holds AideaGo harmless from, and indemnifies AideaGo against, all claims, penalties and costs (including reasonable attorneys' fees) brought against AideaGo by third parties or public authorities arising from: the Customer Materials; the Outputs the Customer has approved; the Customer's own instructions; emails and messages sent on the Customer's behalf; replies the WhatsApp assistant gives based on the Customer's information; the Customer's commitments to its own customers; and the Customer's breach of this agreement or of the rules of the Third-Party Services. The Customer pays AideaGo, on first demand, the amounts that AideaGo has been required to pay for these reasons.
20. Force majeure
20.1. Neither party is liable for failure to perform its obligations because of events outside the parties' reasonable control (natural disaster, epidemic, war, strike, power or internet outage, cyber attack, decisions of public authorities, general outages of Third-Party Services or AI providers). Payment obligations are not excused by force majeure.
20.2. If force majeure lasts longer than 60 days, either party may terminate the agreement by notice.
21. Changes to the agreement
21.1. AideaGo may update this agreement; the current version is published on the site. Significant changes to the Customer's disadvantage are notified through the Registered Channels at least 30 days before they take effect. If the Customer does not terminate its subscription within this period, the change is deemed accepted; in this case the 30-day notice period for termination does not apply.
21.2. The special terms in the Order Form can be changed only by written agreement of the parties (including by email).
22. Assignment and subcontractors
22.1. The Customer may not assign this agreement without AideaGo's written consent.
22.2. AideaGo may assign this agreement and its receivables arising from it, provided it notifies the Customer, to a company that holds or will hold the AideaGo brand, or to a person who takes over the AideaGo business. The Customer gives its consent to this assignment now.
22.3. AideaGo may perform part of the Service through subcontractors, partners and service providers; it is responsible to the Customer for their work within the limits of this agreement.
23. Notices, electronic acceptance and records
23.1. Official notices are given by email: to AideaGo at [email protected], and to the Customer at the email address in the Order Form. A notice given by email is deemed given on the day it is sent. Day-to-day communication takes place on Telegram; termination, warnings and invoice objections are made by email.
23.2. Giving the Order Form acceptance and Approvals electronically (email, panel, Telegram) has the same effect as if they were given with a handwritten signature.
23.3. The parties accept that AideaGo's records of the System, the panel, emails and messages are valid evidence in disputes about whether Approvals and instructions were given.
24. Governing law and jurisdiction
24.1. This agreement is governed by Montenegrin law; conflict-of-laws rules do not apply.
24.2. The parties first try to resolve a dispute by discussion in good faith. If the dispute cannot be resolved within 30 days, the courts of Montenegro competent for the place of AideaGo's registered seat have jurisdiction. AideaGo may also pursue its claims in the courts of the place where the Customer has its seat.
25. Final provisions
25.1. Entire agreement. This agreement, together with the Order Form and its annexes, is the entire agreement between the parties; it replaces earlier discussions, presentations, brochures and correspondence.
25.2. Severability. If a provision is invalid, the other provisions are not affected. The invalid provision is deemed replaced by the valid provision that is closest to its purpose.
25.3. No waiver. Not exercising a right, or exercising it late, does not mean that the right has been waived.
25.4. Independent parties. There is no partnership, agency or employment relationship between the parties. AideaGo acts on the Customer's behalf only for the work stated in this agreement and in Approvals.
25.5. Languages. This agreement is published in Turkish, English and Montenegrin. If there is a conflict between the texts, the English text prevails.
